Result of UC RUSAL Annual General Meeting of Shareholders

UC RUSAL announced the results of its 2012 Annual General Meeting of shareholders (AGM) held on 15 June 2012 in Hong Kong.

All the proposed resolutions put to shareholders were duly passed including: the Company’s 2011 financial statements, the composition of the Board of Directors including the reappointment of several Board members as detailed below, and the reappointment of KPMG as auditor.

According to shareholder voting results, the following Directors were re-elected to the Board of Directors of UC RUSAL: Mr. Petr Sinshinov (executive Director), Mr. Len Blavatnik (non-executive Director), Mr. Dmitry Afanasiev (non-executive Director), Mr. Barry Cheung Chun-yuen (independent non-executive Director), Ms. Elsie Leung Oi-sie (independent non-executive Director), Mr. Maxim Sokov (executive Director), Mr. Maksim Goldman (non-executive Director) and Mr. Dmitry Yudin (non-executive Director).

Following the AGM, the new Board chaired by Mr. Barry Cheung met. The Board appointed Ms. Gulzhan Moldazhanova as a non-executive Director of the Company replacing Mr. Alexander Livshits who had tendered his resignation as an executive Director. UC RUSAL’s Board of Directors currently consists of 18 members, including executive Directors Mr. Oleg Deripaska, Mr. Vladislav Soloviev, Ms. Vera Kurochkina; non-executive Directors Mr. Artem Volynets, Mr. Ivan Glazenberg, Mr. Dmitry Razumov, and independent non-executive Directors Mr. Nigel Kenny and Mr. Philip Lader, who were not subject to re-appointment at the 2012 AGM in accordance with the Company's Articles of Association.
